These Terms of Service ("Terms") govern your use of the website at cogniserve.tech and any related public-facing materials operated by Cogniserve ("Cogniserve", "we", "our", or "us"), a technology services firm based in Panaji, Goa, India.
By using the website you agree to these Terms. If you do not agree, please do not use the website.
These Terms cover only the public website. Software, platforms, integrations, and other services that Cogniserve builds or operates for specific clients are governed by separate written contracts between Cogniserve and each client. Where there is any conflict between these Terms and a signed client contract, the client contract governs for that engagement.
1.Who we are and what we do
Cogniserve is a technology services firm. We design and build:
- AI systems, LLM-powered workflows, and intelligent automation;
- Industry-specific SaaS platforms and B2B products;
- Digital-transformation programmes for businesses moving off legacy systems;
- Specialist software for the maritime, charter, and yard-management sectors.
We work with multiple clients across multiple industries. Each engagement is scoped, contracted, and delivered separately. Information presented on the public website (case studies, descriptions of work, etc.) is for general informational purposes and does not constitute an offer, warranty, or commitment.
2.Use of the website
You may use the website to learn about our services and to contact us. You agree not to:
- Use the website in a way that violates any law or regulation;
- Attempt to gain unauthorised access to our systems, accounts, or data;
- Probe, scan, or test the vulnerability of any system or network without our explicit written permission;
- Interfere with or disrupt the website (e.g. via denial-of-service attacks, malware, automated scraping that imposes unreasonable load);
- Misrepresent your identity, your company, or your reason for contacting us;
- Use the website to harvest data about other visitors;
- Use any content from the website (text, design, images, code) in a way that infringes our intellectual property.

You may not copy, reproduce, distribute, or create derivative works of any part of the website without our prior written consent, except for ordinary personal viewing.
Client logos, screenshots, and case-study materials referenced on the site remain the property of the respective owners and are used with permission or under fair-use principles. If you believe any content infringes your rights, contact us at the address below.
Cogniserve retains all rights to internal frameworks, methodologies, accelerators, code libraries, and tooling that pre-exist or are developed independently of a specific client engagement, except as expressly assigned in a signed client contract.
4.Client engagements
Engagements with Cogniserve — including software development, AI implementation, integration work, and managed-service operations — are governed by a separate written agreement (a Statement of Work, Master Services Agreement, or equivalent) signed by both parties. That agreement covers scope, deliverables, fees, intellectual-property assignment, confidentiality, data handling, service levels, indemnities, and termination.
Nothing on this website constitutes a binding offer or contract. We reserve the right to decline any prospective engagement at our discretion.
When acting on behalf of a client to access third-party platforms (for example, Google Ads, payment processors, or cloud providers), we do so only under credentials the client has authorised, only for the purposes the client has contracted, and in accordance with the platform's own terms of service.
5.Third-party platforms and APIs
Where our work integrates with third-party platforms, you and our clients remain responsible for complying with the terms of those platforms. We comply with the developer policies of the platforms we use, including (where relevant) the Google API Services User Data Policy and the Google Ads API Terms of Service. 6.Disclaimers
The website is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the website will be uninterrupted, error-free, secure, or free of malicious code, although we take reasonable steps to keep it so.
Any information on the website is general in nature and does not constitute professional, legal, technical, or business advice. Use of any information on the website is at your own risk. Specific advice and commitments are provided only under signed engagement contracts.
7.Limitation of liability
To the maximum extent permitted by applicable law, Cogniserve and its directors, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the website — even if we have been advised of the possibility of such damages.
Our aggregate liability arising out of or related to your use of the website, regardless of the form of action, will not exceed INR 10,000 (Indian Rupees ten thousand).
Liability arising under a signed client engagement is governed by that engagement's contract, not by this section.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
8.Indemnity
You agree to indemnify and hold Cogniserve harmless from any claim, loss, liability, or expense (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) your misuse of the website, or (c) your violation of any law or the rights of any third party in connection with your use of the website.
9.Privacy
Our handling of personal information is described in the Privacy Policy. By using the website you acknowledge that policy.
10.Changes to these Terms
We may update these Terms from time to time. Changes take effect when the updated Terms are posted on the website, with a new "Last updated" date. Continuing to use the website after that constitutes acceptance of the updated Terms.
11.Governing law and jurisdiction
These Terms are governed by the laws of India. Any dispute arising out of or related to these Terms or your use of the website is subject to the exclusive jurisdiction of the courts of Goa, India.
